This transaction is CentralNic’s third acquisition in nine months, as it continues its industry consolidation strategy, expanding into key markets that offer significant growth opportunities.

“GlobeHosting plugs very easily into CentralNic’s business operations and enhances the quality of the Group’s earnings,” said Ben Crawford, CEO of CentralNic. The transaction adds to CentralNic’s access to the Romanian and Brazilian markets, which each exhibit attractive characteristics for sustained growth, as well as taking advantage of the upselling capabilities and economies of scale that CentralNic brings to the companies it acquires.”

GlobeHosting is a recurring revenue business operating as a registrar and retailer of domain names and SSL certificates, and a hosting provider servicing principally the Romanian and Brazilian markets. Its businesses fit comfortably into CentralNic’s Retail and Reseller divisions, two of the four key industry channels alongside Corporate and Registry, all of which are well-served by CentralNic following its August acquisition of KeyDrive S.A. for a maximum consideration $55 million.

The total consideration of €2.56 million comprises an initial consideration of €1.5 million, coupled with a deferred payment of €608k due on the first anniversary of completion and €450k due on the second anniversary of completion. It is 3.0 times GlobeHosting’s revenues of €849k for the 12 months to 31 July 2018 and 6.1 times its EBITDA of €419k.

Romania’s country code, .RO, is undergoing significant adjustment from which GlobeHosting is expected to benefit, with imminent changes to its pricing structure involving all existing .RO users renewing their domains. Internet penetration in Romania is growing with an approximately four per cent increase in 2017. Currently approximately 60 per cent of Romania’s circa 20 million population uses the Internet.

Key-Systems, which his owned by a holding company called KeyDrive based in Luxembourg, includes a number of prominent domain name registrars and related businesses include new gTLD registry KSregistry, Skyway Data Center, nic.saarland, BrandShelter, Domain Discount 24, PartnerGate and Thomsen Trampedach, among others.

“The acquisition of KeyDrive is a milestone for the company,” said Ben Crawford, CEO of CentralNic. “On completion, the enlarged group will have doubled in size and will have the technology platforms, expert staff, vision and drive to rival the industry’s traditional leaders.”

Alex Siffrin, the founder and CEO of KeyDrive will become Chief Operating Officer of the Company and will also be a significant shareholder.

According to an announcement from CentralNic, the acquisition represents a reverse takeover under the AIM rules for Companies and is conditional upon shareholder approval.

CentralNic has been on an acquisition spree in recent years having acquired the Australian-New Zealand registrar instra for A$33 million in 2015, the rights to operate the .sk (Slovakia) country code top level domain (ccTLD) and renewed their exclusive wholesaler contract with XYZ.com – the owner of the .xyz new gTLD till 2032, both in 2017.

In 2017, it was reported that “CentralNic’s longer-term vision is to ‘join the ranks of world leaders in its industry, which include a number of multi-billion-dollar companies.’”

In the new gTLD business, CentralNic currently provides backend registry services for 48 new gTLDs with over 4.8 million domain names under management making it the second largest by DUM while Key-Systems, through KSregistry, has 27 new gTLDs with over 32,000 DUM, according to nTLDstats. KSregistry mostly has brand new gTLDs hence the lower number of registrations while CentralNic’s include .xyz with 2.048 million, .online (844,000) and .site (499,000) with 8 with more than 100,000 registrations.

Recurring revenues continue to increase, reflecting the strong focus on growing the proportion of CentralNic’s revenues being of a recurring nature, as exemplified post period-end by the acquisition of SK-NIC in August 2017 and the renegotiated .xyz contract.

For the first half of 2017 CentralNic’s adjusted EBITDA, excluding forex gains and losses, was £1.4m (H1 2016: £0.9m), up 50%, while gross profit for the six months was £3.0m (H1 2016: £2.3m), up 29.5%, revenue of £10.6m (H1 2016: £8.9m),up 19% and net cash of £7.73m (2016: £6.04m).

CentralNic, which boasts of customers in 200 countries throughout its divisions has also made a couple of significant announcements recently. Thursday they announced the .xyz added 10 years to their contract to provide registry services to 2032 and that they’ve moved to a monthly fee based on the volume of .xyz registrations and subscriptions managed.

In late August CentralNic also announced they had acquired the business and assets of SK-NIC, the manager of the exclusive country code top-level domain for Slovakia, .sk. The acquisition involves the purchase of the business, including all the property, rights and assets, of SK-NIC. There is optimism for significant growth in .sk. Slovakia’s economy is growing strongly but a low penetration rate for .sk domain names. It has an estimated penetration of 63 domains per 1000 head of capita as at 31 December 2016, compared to the neighbouring Czech Republic at 121 domains per 1000 head of capita and to the UK with 162 domains per 1000 head of capita – indicating significant growth potential with competitive pricing and service levels.

CentralNic’s retail division focus on optimising marketing performance is paying dividends having completed integration and consolidation of Instra Group. Its wholesale business maintained its lead in global market share by volume, being the only company which supports 6 of the Top 20 new Top-Level Domains. There has also been new client wins as a registry service provider with .rugby .observer and .storage added to the company’s portfolio as well as multiple contracts with country code Top-Level Domains.

Registrations have been dominated by Chinese registrars with 20 of the top 25 registrars for .vip domains being based in China. And up until 22 May, these registrars “The strong launch has also been a boon financially for the .vip registry, Minds + Machines (MMX). Registrants are located in the USA for 10.6 percent (1.910m) and German registrants come third with 2.92 percent of all registrants (525,000). For 14.2 percent of domains the location of the registrant is unknown.On the registry side of things, the largest is XYZ.COM with six new gTLDs and 2.897 million domains followed by Famous Four Media (15 new gTLDs and 2.855 million registrations) followed by Jiangsu Bangning Science & Technology Co.,Ltd. with 2.377 million domains for its .top gTLD. Donuts is the fourth largest new gTLD registry with 193 new gTLDs and 1.704 million domains.Of the backend registry providers, CentralNic is the largest with 35 new gTLDs and 4.194 million registrations followed by ZDNS with 17 new gTLDs and 4.134 million domains, Neustar with 144 new gTLDs and 3.792 million domains and then Rightside with 2.222 million domains and 232 new gTLDs.

According to the website that compiles a comprehensive tally of statistics for new gTLDs, they note that on 24 December there were 11,000,512 registrations. Going by how nTLDstats.com update their data, it means on the 23rd the 11 million mark was passed.

The largest of the 868 gTLDs that have been delegated continues to be .xyz with 1.769 million registrations, and still far ahead of the second largest, now .top with 955,000 registrations followed by .wang with 601,000.

Of the top 30 by registration numbers, the only strings that aren’t generic are one brand gTLD (.ovh with 79,400 registrations) and the geographic gTLDs of .nyc (79,900), .london (62,300) and .berlin (58,300).

Of the 868 delegated gTLDs, around 410 have entered the General Availability phase while a large number of those delegated are “not available” and are brand gTLDs.

Currently there are 16 gTLDs with more than 100,000 registrations, 33 with more than 50,000 and 140 with more than 10,000.

By registration numbers, the largest registry is XYZ.COM with 1.774 million domains across its six gTLDs, then Famous Four Media (15 and 1.686m), Donuts (191 and 1.543m). On gTLD numbers, Donuts is the largest followed by Rightside (40 gTLDs) and Uniregistry (23).

The largest backend registry provider is Neustar with 101 gTLDs and 2.354m domains followed by CentralNIC (34 and 2.331m), ZDNS (17 and 2.187m) and then Rightside (231 and 1.948m).

Over 72 percent (7.992m) of the registered domains are parked. And there are naturally, and unfortunately, domains that are linked to malware and phishing. But the percentage is tiny with 9,269 or 0.08 percent of all domains registered in new gTLDs having suspicious activity.

But then in early October total registrations passed the eight million mark, and nine million was reached on 3 November.This out of a total of around 300 million registrations across all gTLDs, given that at the end of June 2015 there were 296 million domains registered across all TLDs, according to Verisign. So it means new gTLD registrations make up a small but sizeable figure of around 3.5 percent of all registrations. Total registrations though are still dwarfed by .com with around 123 million registrations, 27.1 million for .tk, 16.0 million for .de, 15.2 million for .net, 12.8 million for .cn and 10.8 million for .org.The largest of the new gTLDs by a long way continues to be .xyz with 1.621 million registrations or 16.04 percent of all new gTLD registrations. Registrations jumped a dramatic 200,000 over three days at the end of October and early November and by around 150,000 since.The second largest of the new gTLDs is now .top with over 890,000 registrations which saw registrations grow by around 300,000 in early November, then .wang (592,000), .win (474,000) and then .网址 (website), which for quite a while was the second largest of the new gTLDs now fifth, dropping from a maximum of almost 376,000 to 365,600 registrations today as many domains aren’t renewed come renewal time.One issue that is becoming clearer is the prominence of generic strings among the top gTLDs by registration numbers. On actual registries, XYZ.COM is the largest with 1.6 million registrations and six new gTLDs followed by Donuts (1.5m and 191) and Famous Four Media (1.4m and 14).
